1. Agreement to Terms

By accessing or using G-Square.AI's services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

G-Square.AI provides artificial intelligence consulting, development, and implementation services including:

• AI Strategy Consulting: Comprehensive AI readiness assessments and custom strategy roadmaps
• Custom AI System Implementation: Development of AI chatbots, voice assistants, content generation systems, and data analytics solutions
• Integration & Cloud Services: Legacy system integration, cloud migration, and API development
• Ongoing Maintenance & Optimization: Monthly updates, performance monitoring, and technical support
• Calendar Integration Services: Secure calendar connection and appointment booking automation

3. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue any part of our services at any time with or without notice. We do not guarantee that our services will be available at all times or free from errors.

4. User Obligations and Acceptable Use

Permitted Use

You may use our services only for lawful business purposes and in accordance with these Terms. You agree to:

• Provide accurate and complete information when using our services
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Respect the intellectual property rights of others

Prohibited Activities

You agree not to:

5. Payment Terms and Billing

Project-Based Services

For custom AI implementations and consulting services:

• Payment Structure: 50% upfront payment, 50% upon project completion
• Project Scope: Services are provided according to agreed-upon project specifications
• Change Requests: Additional work outside the original scope may incur additional charges
• Payment Terms: Net 30 days for approved invoices

Recurring Services

For ongoing maintenance and optimization services:

• Billing Cycle: Monthly billing in advance
• Auto-Renewal: Services automatically renew unless cancelled with 30 days notice
• Price Changes: We may adjust pricing with 60 days advance notice

Late Payments

Late payments may incur a 1.5% monthly service charge. We reserve the right to suspend services for accounts with payments overdue by more than 60 days.

6. Intellectual Property Rights

G-Square.AI Intellectual Property

All content, software, and technology provided through our services remain the exclusive property of G-Square.AI or our licensors. This includes but is not limited to:

• Proprietary AI models and algorithms
• Solution accelerators and reusable components
• Training materials and methodologies
• Software code and technical documentation

Client Intellectual Property

You retain ownership of your business data, content, and intellectual property. We will not claim ownership of your proprietary information or use it for purposes other than providing our services.

Work Product

Custom AI solutions developed specifically for your business will be delivered to you upon full payment. However, underlying frameworks, methodologies, and reusable components remain our intellectual property.

7. Data Protection and Privacy

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Security

We implement industry-standard security measures to protect your data, including:

• End-to-end encryption for data in transit and at rest
• Secure cloud infrastructure with regular security audits
• Access controls and authentication protocols
• Regular data backups and disaster recovery procedures

8. Service Availability

We make reasonable efforts to maintain service availability, but we do not guarantee uninterrupted access to our services. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

Support

Technical support is provided on a best-effort basis during our regular business hours. Response times may vary based on the nature and complexity of the issue.

Project Delivery

We will work diligently to complete projects within agreed timeframes, but delivery schedules are estimates and may be affected by factors including but not limited to project complexity, client feedback cycles, and third-party dependencies.

9. Limitation of Liability

IMPORTANT: Please read this section carefully as it limits our liability to you.

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Damages

To the maximum extent permitted by law, G-Square.AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services.

Maximum Liability

Our total liability to you for any claims arising from these Terms or our services shall not exceed the amount you paid us for the specific service giving rise to the claim in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless G-Square.AI, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services in violation of these Terms
• Your violation of any law or regulation
• Your infringement of any third-party rights
• Content you provide or transmit through our services

11. Termination

Termination by You

You may terminate your use of our services at any time by providing 30 days written notice. Recurring services will continue until the end of the current billing period.

Termination by Us

We may terminate or suspend your access to our services immediately if:

• You breach these Terms
• You fail to pay amounts due
• We reasonably believe your use poses a security risk
• Required by law or regulation

Effect of Termination

Upon termination, your right to use our services ceases immediately. We may delete your data after a reasonable period, and you remain responsible for all amounts due through the termination date.

12. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Tennessee, United States, without regard to conflict of law principles.

Dispute Resolution Process

Before pursuing legal action, we encourage you to contact us to resolve any disputes. If we cannot resolve a dispute through good faith negotiations, either party may pursue legal remedies in the courts of Davidson County, Tennessee.

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and G-Square.AI regarding your use of our services and supersede all prior agreements and understandings.
